1. Scope
This website presents strategy, design, development, integration, evaluation, optimization, deployment and support services for AI agents for businesses.
2. No automatic contractual relationship
Use of this website, submitting a form or an initial conversation does not create a professional, contractual, partnership, employment, fiduciary or agency relationship between the parties.
Every project is governed by a written proposal, statement of work, service order, contract or other applicable agreement.
3. Scope and deliverables
Timeline, pricing, deliverables, tools, infrastructure, responsibilities, acceptance criteria and support are defined per project in the applicable contractual documentation.
4. Client responsibilities
The client is responsible for having the rights, permissions, authorizations and lawful bases necessary to provide data, documents, APIs, systems, tools, content and materials used in a project.
5. Use of AI systems
AI systems may produce inaccurate, incomplete, biased, outdated or unexpected results. The client must define human review processes proportionate to risk and must not rely on AI results as the sole basis for medical, legal, financial, employment, educational, safety, credit, insurance or other decisions that may significantly affect an individual.
6. Sensitive data and PHI
PHI, identifiable medical information, sensitive personal data, secrets, credentials or regulated information must not be provided through public forms or unapproved channels.
Any project involving health data, PHI, ePHI or specific regulatory requirements requires prior evaluation and applicable agreements, including DPA, BAA or other documents where appropriate.
7. Third-party providers
Models, APIs, hosting, databases, automation tools, observability services and other external providers are subject to their own terms, availability, technical limits and policies.
8. Intellectual property
Ownership of specific paid deliverables is governed by the applicable agreement.
Unless otherwise agreed in writing, 3 Alpha IA retains rights to methodologies, know-how, reusable components, libraries, internal tools, templates, patterns, generic prompts, accelerators and general improvements that do not contain client confidential information.
9. Confidentiality
Confidentiality is governed by NDA, contract or other applicable agreement. If a signed NDA exists, it prevails over general website text regarding confidentiality.
10. Disclaimer and limitation of liability
To the maximum extent permitted by applicable law, 3 Alpha IA is not liable for indirect, incidental, special, consequential damages, loss of revenue, loss of data, third-party service unavailability or decisions made solely based on AI-generated results.
Specific limitations and liabilities may be set out in the applicable contract.
11. Governing law and jurisdiction
These terms are governed by the applicable laws of Mexico. Any dispute shall be submitted to the competent courts of Mexico City, Mexico, unless a written agreement states otherwise or mandatory law requires a different forum.
